Subscription Service Agreement for Tabletop Game Sessions via Discord

This Agreement outlines the terms and conditions for a subscription service provided by Celestial Events for playing tabletop role-playing games (TTRPGs) via an online chat platform (Discord) with a qualified Game Leader.

By subscribing to the service, the Member agrees to the following:

1. Definitions

1.1 Definitions  
The following terms and definitions apply unless the context requires otherwise:

- Game Leader: A qualified individual responsible for leading and facilitating the tabletop gaming sessions.
- Member: An individual who subscribes to the service and gains access to the tabletop gaming sessions.
- Session: A single game session lasting between 2 to 4 hours, as specified by the Member’s chosen subscription plan.
- Campaign: A series of connected game sessions making up a larger storyline, typically lasting for 6 months.
- “One Shot”: A one-time, standalone game session lasting approximately 3 hours.
- Charges: The subscription fees paid for the service.
- Start Date: The date on which the Member subscribes to the service and the campaign or "one-shot" begins.
- Service: The provision of online tabletop gaming sessions through Discord, facilitated by a Game Leader.

2. Subscription Plans

2.1 Subscription Options  
The Member may select one of the following subscription options:

- Upfront Payment Plan: $400, paid in full upfront, for a 6-month campaign consisting of 12 sessions (2-4 hours each), led by a qualified Game Leader.
 
- Payment Plan: $220 paid upfront, with a second $220 payment due at the 12-week halfway point, for a 6-month campaign played fortnightly (every two weeks), with 2-4 hour sessions.

- One Shot Plan: A one-time, $50 payment for a 3-hour standalone game session.

2.2 Game Leader  
The Game Leader may be changed at any point during the campaign at the discretion of the service provider. In the event of a change, the Member will be notified in advance.

2.3 Refunds  
- If a campaign does not meet the minimum number of participants, a full refund will be issued to the Member prior to the campaign's start date.
- If a session is missed by a player, no refund will be issued for the missed session.
- There is no refund if the Member changes their mind after subscribing or for any other reason not stated herein.

3. Cancellations & Changes

3.1 Game Master Absence  
If a Game Leader is unable to host a session due to illness or other unforeseen circumstances, a replacement Game Leader will be arranged or an alternative makeup session will be provided at no additional cost.

3.2 Missed Sessions  
If the Member misses a scheduled session, no refund or rescheduling will be provided. It is the Member's responsibility to attend each session as scheduled.

4. Content Disclaimer & Mental Health

4.1 Content of Sessions  
The tabletop gaming sessions may involve storytelling, scenarios, and characters that touch upon a wide range of themes, including but not limited to fantasy violence, moral dilemmas, and mature topics. Celestial Events is not responsible for any emotional discomfort, personal distress, or mental strain that may arise from participating in these sessions. 

4.2 Player Responsibility  
By participating in these games, the Member acknowledges that the content may include topics that do not align with their personal beliefs or values. Members play at their own mental and emotional risk, and Celestial Events shall not be held liable for any personal discomfort, hurt, or distress caused by the content discussed or the themes presented in the game.

4.3 Mental Health Considerations  
Members are encouraged to assess their own mental health and personal boundaries before subscribing to the service. Celestial Events recommends that players approach the games with mindfulness of their personal well-being, and seek support if any distressing feelings arise as a result of participating.

5. Technical Requirements

5.1 Player Requirements  
To participate in the service, the Member must have access to:
- A stable high-speed internet connection
- A working microphone
- A computer or device capable of running Discord

5.2 Discord Account  
The Member must have a valid Discord account to participate in the gaming sessions.

6. Game Leaders & Contractors

6.1 Independent Contractors  
Game Leaders are independent contractors and are not affiliated with Celestial Events. They are not considered employees or spokespersons of Celestial Events.

6.2 Service Provider Contact  
All administrative inquiries should be directed to dnd@celestialevents.com.au. Game Leaders are only responsible for the facilitation of the game sessions.

7. Intellectual Property & Brand Protection

7.1 Intellectual Property  
The gameplay, campaign materials, scenarios, character designs, and any other content related to the gaming sessions provided by Celestial Events are the exclusive intellectual property of Celestial Events. This includes all written, visual, and audio content produced during the course of the sessions.

By participating in the service, the Member acknowledges that they do not have ownership of any intellectual property related to the gameplay, and that all intellectual property rights remain with Celestial Events.

7.2 Brand Protection  
The Member agrees not to engage in any activity that could harm or damage the reputation of Celestial Events, the Game Leaders, contractors, volunteers, or the service. Specifically, the Member agrees not to:

- Speak negatively or disparagingly about Celestial Events, the Game Leaders, contractors, volunteers, or any associated content.
- Take actions that could harm the public image, reputation, or brand of Celestial Events or its contractors.
- Publish or share defamatory, false, or damaging statements about the company or its personnel, whether online or offline.

Failure to adhere to this clause may result in immediate termination of access to the service, and the Member may be held liable for any resulting damages.

8. Limitation of Liability

8.1 Liability  
Celestial Events is not responsible for any indirect, incidental, or consequential damages, including loss of data, loss of revenue, or loss of business opportunities resulting from the use of the service. Additionally, Celestial Events shall not be liable for any emotional, mental, or personal harm caused by the content of the games or the interactions within the sessions.

8.2 Force Majeure  
Celestial Events is not liable for failure to perform any of its obligations if such failure is due to causes beyond its reasonable control (including, but not limited to, natural disasters, illness, or other emergencies).

9. Termination & Suspension

9.1 Termination by the Member  
The Member may terminate the subscription at any time, but no refunds will be given for payments already made.

9.2 Suspension or Termination by Provider  
Celestial Events may suspend or terminate the Member’s access to the service if the Member fails to adhere to the terms of this Agreement, or if Celestial Events deems such action necessary. This includes violations of the brand protection clause or actions that harm the reputation of Celestial Events or its contractors.

10. General Provisions

10.1 Independent Contractors  
The service provider operates as an independent contractor and this Agreement does not establish any employer-employee relationship between the service provider and the Member.

10.2 Governing Law  
This Agreement is governed by the laws of the jurisdiction in which Celestial Events operates, and any disputes arising will be resolved in the courts of that jurisdiction.

10.3 Amendments  
Celestial Events reserves the right to amend the terms of this Agreement at any time. Any such amendments will be communicated to the Member and will be effective immediately upon notification.

10.4 This agreement and any disputes or claims arising out of or in connection with its subject matter or formation (including non-contractual disputes or claims) are governed by, and shall be construed in accordance with, the laws of Queensland, Australia.

By subscribing to the service, the Member agrees to be bound by these terms and conditions and acknowledges the risks associated with the content of the sessions. The Member affirms that they are mentally and emotionally prepared for the themes that may arise during gameplay, accept responsibility for their own well-being, and agree to respect the intellectual property and brand of Celestial Events and its associates.
